Terms & Conditions

These terms govern the relationship between krungthed ("the firm", "we", "us") and any person or entity ("you", "the client") who engages our services or uses this website. By submitting an enquiry, retaining our services, or continuing to use this website, you acknowledge that you have read and understood these terms.

1. Who We Are

krungthed is a corporate law firm based in Bangkok, Thailand. Our registered office is at 142 Sukhumvit Road, Khlong Toei, Bangkok 10110. We are registered with the Lawyers Council of Thailand. For general enquiries, contact us at [email protected].

2. Scope of Services

The firm provides three categories of legal service: company formation and structuring advisory, shareholder and joint venture agreement review, and corporate governance compliance checks. Each engagement is defined by a written scope confirmation issued before work commences. Services outside the confirmed scope are not included and will require a separate engagement.

We do not provide general legal advice outside our practice areas, litigation services, or tax advisory. If your matter falls outside our scope, we will advise you to that effect at the outset.

3. Engagement and Scope Confirmation

No engagement is considered active until a written scope confirmation has been issued by us and you have confirmed acceptance. The scope confirmation sets out the work to be performed, the deliverables, and the fee. Work does not commence, and fees do not accrue, prior to this confirmation.

Changes to scope during an engagement must be agreed in writing before any additional work is undertaken. Verbal agreements to vary scope are not binding on the firm.

4. Fees and Payment

Our fees are stated in the scope confirmation and are denominated in Thai Baht. The stated fee covers the work described in the scope confirmation. Fees do not include:

Disbursements will be identified and disclosed to you before they arise. We do not incur third-party costs on your behalf without prior authorisation. Payment terms are stated in the scope confirmation. Where payment is not received within the agreed period, we reserve the right to suspend work until the outstanding amount is settled.

5. Confidentiality

We maintain strict professional confidentiality in relation to all client matters, consistent with the obligations imposed on members of the Lawyers Council of Thailand. Information shared with us for the purpose of an engagement will not be disclosed to third parties except where required by law, by regulatory authority, or where you have given express consent. This obligation continues after the conclusion of any engagement.

6. Deliverables and Intellectual Property

Deliverables produced under an engagement — including memoranda, document drafts, and summaries — are prepared for your use in relation to the specific matter described in the scope confirmation. You may rely on them for that purpose. We retain ownership of the underlying work product and methodologies. Deliverables may not be shared with third parties, republished, or used in legal proceedings without our prior written consent, except as reasonably necessary to act on our advice.

7. Limitation of Liability

Our advice is provided on the basis of the information and documents made available to us at the time of the engagement. We cannot accept responsibility for errors or omissions arising from information that was inaccurate, incomplete, or withheld. Our liability in respect of any single engagement is limited to the fee paid for that engagement, except in cases of fraud or wilful misconduct. We do not accept liability for consequential, indirect, or speculative losses.

The firm maintains professional indemnity insurance in accordance with the requirements of the Lawyers Council of Thailand.

8. No Guarantee of Outcome

We provide considered legal advice and analysis. We do not represent or warrant any particular outcome from following our recommendations. Legal and regulatory processes in Thailand involve government departments and timelines that are beyond our control. We will advise you honestly about realistic expectations at the outset of any engagement.

9. Conflicts of Interest

We conduct conflict checks before accepting any engagement. If a conflict of interest is identified, we will notify you promptly and, where appropriate, decline to act. If a conflict arises during an engagement, we will discuss the implications with you and determine an appropriate course of action.

10. Client Obligations

You agree to provide accurate and complete information as reasonably required for us to perform the services described in the scope confirmation. Where information provided is subsequently found to be inaccurate or incomplete, we reserve the right to revise our advice or to withdraw from the engagement, subject to payment of fees for work completed.

11. Termination

Either party may terminate an engagement by written notice. If you terminate an engagement before completion, you remain liable for fees covering work completed to the date of termination. We may terminate an engagement where payment obligations are not met, where you have provided materially inaccurate information, or where continuing the engagement would create a professional or ethical conflict. In such circumstances, we will provide reasonable notice and will take steps to minimise disruption to your matter.

12. Governing Law and Dispute Resolution

These terms, and any engagement conducted under them, are governed by the laws of Thailand. Any dispute arising under these terms will be subject to the jurisdiction of the Thai courts, unless otherwise agreed in writing. We encourage any concerns to be raised with us directly in the first instance, and we will make reasonable efforts to resolve disputes informally.

13. Website Use

This website is provided for informational purposes. The content on this site does not constitute legal advice and does not create a solicitor-client relationship. No reliance should be placed on website content as a substitute for advice specific to your circumstances. We make reasonable efforts to keep website content accurate and current but do not warrant that it is free of errors or reflects the most recent legal developments.

14. Privacy

Information submitted through this website is handled in accordance with our Privacy Policy, which forms part of these terms by reference.

15. Changes to These Terms

We may update these terms from time to time. The current version will be available on this page, identified by the "Last updated" date above. Your continued use of our services or website after any change constitutes acceptance of the revised terms.
