Frequently Asked
Can a foreigner own 100% of a Thai company?
In most sectors, Thai law caps foreign ownership at 49%. However, there are structures — including BOI-promoted businesses and certain service categories — that permit higher or full foreign ownership. We assess your specific situation to identify which structure best suits your business model and intended activities.
How long does company registration typically take?
Standard registration with the Department of Business Development generally takes between five and ten working days once all documents are in order. BOI applications add further time depending on the category. We provide a realistic timeline at the outset, based on your specific structure and readiness of materials.
What does the shareholder agreement review include?
We read the entire document, identify clauses that carry meaningful risk or ambiguity, and produce a written memorandum setting out our findings in plain language. A follow-up conversation is included so you can ask questions before deciding on any next steps. The review does not automatically include redrafting — that can be discussed separately if needed.
How is the governance compliance check delivered?
You receive a confidential memorandum setting out what we found, what the implications are, and our recommended corrective steps with approximate timelines. We can also coordinate the necessary filings on your behalf if you wish to retain us for that follow-through work.
Do you work with businesses outside Bangkok?
Our office is in Bangkok but a significant portion of our work is conducted by correspondence and document exchange. For clients based elsewhere in Thailand or abroad, in-person meetings are generally not required for most of our services.
How do fees work — are there hidden costs?
Each service has a stated fee that covers the defined scope of work. Government filing fees, notarisation costs, or translation charges — where they arise — are separate and disclosed before incurring them. Nothing is added without your awareness.
