Our Story

How krungthed Came to Be

The firm's name carries the abbreviated form of Bangkok's ceremonial Thai name — a deliberate choice that reflects our commitment to operating within Thai legal culture rather than around it. krungthed was established by a small group of Thai-qualified legal practitioners who had each spent years working with foreign clients in other settings and found, repeatedly, that the experience left something to be desired.

What those clients needed was not a firm that translated documents and left the interpretation to them. They needed counsel willing to sit with complexity, explain consequences in plain language, and offer a considered view — not a disclaimer-laden non-answer. That is what we set out to provide.

Today the firm works primarily in three areas of corporate law: company formation and structuring for investors entering Thailand, review of shareholder and joint venture agreements for businesses navigating new or existing partnerships, and corporate governance compliance checks for established companies preparing for audit, due diligence, or a change in shareholding.

Our office is in Bangkok's Khlong Toei district, close to the Sukhumvit corridor where many of our clients operate. A significant portion of our work is conducted by correspondence and document exchange, and we are accustomed to working across time zones when clients are based in Europe, the Americas, or elsewhere in Asia.

All legal work is performed or directly supervised by Thai-qualified attorneys registered with the Lawyers Council of Thailand.

All documents and findings are held in strict confidence. We do not discuss client matters outside the scope of the engagement, and governance review outputs are delivered only to authorised contacts.

Defined Scope Before Work Starts

We confirm the scope and fee of each engagement in writing before any work begins. Additional charges only arise when a new scope is agreed in advance.

English-Medium Delivery

All client-facing documents, memoranda, and communications are produced in English. Where Thai statutory filings require Thai-language documents, a plain-English summary accompanies them.

Ongoing Regulatory Awareness

The team monitors changes to the Foreign Business Act, DBD filing requirements, and BOI regulations. Clients are notified when a change may affect their structure or compliance posture.

Corporate Law in Thailand: What Investors Need to Know

Establishing and operating a company in Thailand involves a framework of statutes, departmental processes, and sector-specific restrictions that can, without careful attention, create structural problems that surface only later — during a due diligence exercise, a change in shareholding, or an audit.

The Foreign Business Act remains the primary instrument governing what activities non-Thai entities may engage in, and under what ownership conditions. Adjacent to this, the Board of Investment offers conditional pathways for certain categories of business that can significantly alter what is possible in terms of foreign ownership and land rights. Navigating these two bodies of law together requires someone familiar with both their current text and the practical norms of how they are administered by the relevant departments.

Beyond formation, the governance of an operating company in Thailand — maintaining accurate minute books, filing annual returns, managing related-party transactions within statutory parameters — is not onerous, but it does require regular attention. Companies that allow these records to lapse discover, often at inconvenient moments, that corrective action takes longer and costs more than maintenance would have.

krungthed's role is not to complicate this landscape but to make it navigable. We work with clients who want to understand what they are doing, not just sign where they are told.
