A Few Matters in More Detail
Challenge
A Singapore-based e-commerce business wanted to establish a Thai subsidiary with full foreign ownership. Their sector fell under restricted categories in the Foreign Business Act. Previous legal advisers had simply told them it wasn't possible.
Approach
We conducted a full BOI eligibility review and identified a promoted activity category that applied to the client's operational model. A formation plan was drafted that utilised BOI promotion to achieve the ownership structure the client needed.
Outcome
Thai limited company formed with BOI promotion obtained. Full foreign ownership achieved within the statutory framework. Registration completed within seven weeks of initial engagement. Client has since incorporated a second entity through us.

Challenge
A European hospitality group was preparing for due diligence by a potential acquirer. Their Thai operating company had been running for six years with no formal governance review. Board minutes were incomplete, and two annual DBD filings had been missed.
Approach
We performed a governance compliance check across all six years of operation. Gaps were ranked by materiality. The two missing DBD filings were identified as requiring immediate attention; the board minute gaps were noted as correctable within the due diligence window.
Outcome
Missing filings rectified with DBD within three weeks. Retrospective board minutes prepared with appropriate dating. Due diligence process proceeded without the governance issues becoming a material concern for the acquirer.

Challenge
Two co-founders of an early-stage technology company in Bangkok were preparing to sign a shareholders' agreement drafted by the Thai co-founder's personal solicitor. The foreign co-founder wanted an independent review before signing.
Approach
A full clause-by-clause review was completed within five business days. The memo identified a drag-along provision that gave majority shareholders unusually broad rights with limited procedural protections for minority holders — relevant to the foreign co-founder's position.
Outcome
Client returned to negotiation with specific language changes. The revised drag-along clause included a minimum price floor and a 30-day notice requirement. Agreement signed three weeks later on terms both parties found acceptable.
